Terms & Conditions of Use

These Terms & Conditions (“Terms”), together with our Privacy Policy, constitute a legally binding agreement between you (“User”, “you”) and RasayanXchange, governing your access to and use of the website, mobile interfaces, and services available at rasayanxchange.com and its subdomains (collectively, the “Platform”).

By creating an account, checking the acceptance box presented at registration, or otherwise accessing or using the Platform, you confirm that you have read, understood, and agree to be bound by these Terms.

If you are registering on behalf of a company, firm, LLP, or other entity, you represent that you have the authority to bind that entity to these Terms.

RasayanXchange is a business-to-business discovery, listing, and communication platform for the Indian industrial chemicals trade. It enables registered Buyers and Suppliers to list chemicals, discover counterparties, exchange quotations and RFQs, and maintain a shared, auditable timeline of commercial interactions.

RasayanXchange is not a party to any transaction between a Buyer and a Supplier. We do not buy, sell, own, store, transport, or take title to any chemical listed on the Platform.

RasayanXchange does not hold, process, transmit, or have custody of any funds exchanged between Users.

Trust Scores, verification badges, and similar indicators are computed from platform activity and provided as an informational aid only. They are not a guarantee, certification, or warranty of any Supplier’s or Buyer’s reliability, solvency, product quality, or commercial conduct.

You must be at least 18 years of age and competent to contract under the Indian Contract Act, 1872. You must provide accurate, current, and complete information, including a valid GSTIN and PAN, and keep it updated. RasayanXchange may refuse, suspend, or decline to activate any registration at its discretion, particularly where information cannot be verified.

You are solely responsible for the accuracy, legality, and completeness of every listing, quotation, RFQ response, and other content you submit. You shall not list any chemical you are not legally licensed to deal in, counterfeit or misrepresented goods, or content you know to be false. You shall comply, at your own cost, with every applicable law governing your business and the chemicals you deal in.

Certain features may be offered on a paid basis. Fees are exclusive of applicable taxes unless stated otherwise, and are generally non-refundable except as expressly stated at the time of purchase or required by law. RasayanXchange may change its fee structure prospectively with reasonable notice.

The Platform is provided “as is” and “as available.” RasayanXchange is not responsible for the quality, safety, legality, or regulatory compliance of any chemical listed or transacted, the accuracy of any specification or price, any User’s performance or non-performance of a transaction, or any payment made, unpaid, or disputed between Users.

RasayanXchange’s total aggregate liability to you for any claim arising out of these Terms shall not exceed the greater of the fees you paid us in the preceding twelve months, or ₹10,000.

RasayanXchange shall not be liable for indirect, incidental, special, or consequential damages. Nothing in this clause excludes liability that cannot be excluded under Indian law, including for fraud or wilful misconduct by RasayanXchange.

You agree to indemnify and hold harmless RasayanXchange and its directors, officers, and employees from claims arising out of your breach of these Terms, your User Content, any transaction or dispute between you and another User, or your violation of applicable law in connection with your use of the Platform. This indemnity survives termination of your account.

RasayanXchange provides tools to help Users reconstruct what was agreed and what occurred in a transaction, but is not an arbitrator, mediator, escrow agent, or guarantor of any transaction outcome. Any dispute regarding the underlying commercial transaction — quality, quantity, delivery, or payment — is a matter between the Buyer and Supplier concerned.

All software, design, trademarks, and content on the Platform other than User Content belong to RasayanXchange or its licensors. By submitting User Content, you grant RasayanXchange a non-exclusive licence to host and display it for the purpose of operating the Platform.

Our collection and use of personal information is described in our Privacy Policy. You consent to RasayanXchange verifying the information you provide against public or third-party government databases for account verification and fraud prevention. We maintain a record of your acceptance of these Terms — including version, timestamp, and IP address — for audit and compliance purposes.

RasayanXchange is not responsible for third-party services linked from the Platform. We may suspend or terminate an account for breach of these Terms, fraud, or as required by law. Neither RasayanXchange nor either User is liable for delays caused by events beyond reasonable control. Nothing in these Terms creates a partnership, agency, or employment relationship between any parties. You may not assign your rights under these Terms without our consent.

These Terms are governed by the laws of India. Any dispute shall first be attempted to be resolved through good-faith negotiation. Failing that, it shall be referred to arbitration under the Arbitration and Conciliation Act, 1996, seated in Vadodara, Gujarat, India, in English. Subject to arbitration, the courts at Vadodara, Gujarat shall have exclusive jurisdiction.

We may amend these Terms from time to time. Material changes will be notified by posting an updated version on the Platform with a new effective date. Continued use after that date constitutes acceptance of the revised Terms.

Your acceptance of these Terms — the specific version, the exact date and time, and the IP address from which it was recorded — is logged at the time of registration and retained as part of our compliance records, and may be produced as evidence of your acceptance in any dispute or regulatory inquiry.

These Terms, together with the Privacy Policy, constitute the entire agreement between you and RasayanXchange regarding the Platform. If any provision is held invalid, the remaining provisions continue in force. Our failure to enforce any provision is not a waiver of it.
